General Terms and Conditions of Sale – Business
clearminds AB, company reg. no. 559476-7971, Luntmakargatan 26, 6 tr, 111 37 Stockholm, Sweden. In force from 13 August 2026. This is a translation of our Swedish terms; in the event of any discrepancy the Swedish version prevails. In sales to consumers, mandatory Swedish consumer legislation takes precedence.
1. Application
These terms apply to all quotations, order confirmations and deliveries unless otherwise agreed in writing. A buyer's own purchasing terms apply only where we have accepted them in writing.
2. Product information
Information on clearminds.se and techfass.clearminds.se takes precedence over other material. We reserve the right to correct errors, change prices and to sell out of stock.
3. Prices and currency
Prices are in Swedish kronor excluding VAT. Shipping is added unless stated. Quotations are valid for 30 days.
Most products are purchased in euro. For products not held in stock the price is based on the exchange rate at the time of invoicing, and we reserve the right to adjust the price if the rate has moved materially between quotation and delivery.
Invoice totals are rounded to whole kronor. The rounding is shown as its own line on the invoice and does not affect VAT, which remains exactly the rate applied to the goods. A quotation may therefore differ from the invoice by up to fifty öre.
4. Orders
A binding agreement arises when we confirm the order in writing. We may carry out a credit assessment and require payment in advance.
5. Payment
20 days net from the invoice date unless otherwise stated. Late payment carries interest under the Swedish Interest Act at the reference rate plus eight (8) percentage points, together with the statutory late payment compensation under section 4 a of that Act. Goods remain our property until paid in full.
6. Delivery and risk
Delivery times are estimates and not binding unless expressly guaranteed. Risk passes to the buyer when the goods are handed to the carrier.
7. Transport damage
Visible transport damage must be reported to the carrier and to us immediately, and no later than one (1) week after receipt. Retain the packaging and document the damage photographically.
8. Returns
Unused products in unopened original packaging may be returned within 30 days of the invoice date by prior agreement. Special-order products, software, licences and subscriptions cannot be returned except where defective. The buyer bears the return freight and the risk during return transport.
9. Claims
Defects must be notified within a reasonable time of being discovered or of when they ought to have been discovered. Always quote the order number and, for serial-tracked products, the unit's serial number.
10. Warranty
Hardware carries the respective manufacturer's warranty. For products from TECH FASS s.r.o. the warranty period is two (2) years. The warranty does not cover faults caused by incorrect installation, external influence, or work carried out by anyone other than clearminds AB or a party designated by us.
11. Software, licences and cloud services
Software and cloud services are governed by the respective supplier's licence and service terms, between that supplier and the customer. TF-BADGE and TF-BOOK are supplied as 365-day subscriptions payable in advance. The period begins when the subscription code is entered against the installation. Subscriptions are not renewed automatically by clearminds AB.
12. Limitation of liability
We remedy defects by repair, replacement or credit at our option. We are not liable for indirect loss such as loss of profit, production stoppage or loss of data. Our aggregate liability is limited to the amount the customer has paid us in the preceding twelve (12) months. These limitations do not apply in cases of intent, gross negligence or personal injury.
13. Force majeure
We are not liable for failure to perform due to circumstances beyond our reasonable control, including war, government measures, pandemic, industrial action, cyber attack, transport disruption or component shortages in the supply chain.
14. Export control and sanctions
The buyer undertakes not to sell, export or re-export goods in breach of applicable UN, EU or US sanctions, including Article 12g of EU Regulation 833/2014 concerning Russia and Belarus.
15. Personal data
We process contact details of the customer's representatives in order to perform the agreement. Where we process personal data on the customer's behalf, a data processing agreement is concluded. See our privacy policy.
16. Governing law and disputes
Swedish law applies, excluding its conflict-of-law rules and the CISG. Disputes shall first be addressed through negotiation and otherwise settled by the Swedish general courts, with Stockholm District Court as the court of first instance.
